Terms of Service

Effective Date: July 14, 2026

Welcome to Journey.tax ("Company," "we," "our," or "us"), operated by Secord Fintech Inc. These Terms of Service ("Terms") govern your firm's access to and use of the Journey.tax platform (the "Service"). By accessing or using the Service, you agree to these Terms on behalf of your firm.

1. Eligibility and Authority

You must be at least 18 and authorized to bind your firm or organization. By using the Service, you represent that you have that authority.

2. Service Description

Journey.tax is a cloud-based firm-management and workflow platform for accounting, tax, and advisory firms. We do not provide tax, legal, accounting, or financial advisory services. Any templates, checklists, consent forms, or compliance workflows the Service makes available are provided as configurable tools for your convenience, not as legal advice. You are responsible for having your own counsel review and approve them before use.

3. Account Registration

You agree to provide accurate information, maintain the confidentiality of your credentials, and remain responsible for all activity under your account.

4. Subscription and Billing

The Service is provided on a subscription basis. Fees are billed in advance and are non-refundable except as expressly stated or required by law. Subscriptions automatically renew for successive terms unless canceled before the renewal date. We will provide renewal and cancellation information as required by applicable auto-renewal laws. You may cancel at any time, effective at the end of the current term, subject to these billing terms.

5. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your firm's internal business purposes only. You may not resell or sublicense the Service, reverse engineer or copy the platform, access or attempt to access the source code, or use the Service to build a competing product. All intellectual-property rights in the Service remain exclusively with Journey.tax. The full license terms are set out in the separate Software License Terms, which are incorporated by reference.

6. Data Ownership and Your Responsibilities

As between you and us, your firm owns its data and the client data it submits, and your firm is the data controller for that client data. You are solely responsible for:

  • the accuracy of information entered into the Service;
  • your clients' compliance obligations and your own; and
  • obtaining all client consents and authorizations required by law, including under IRC § 7216, before using the Service to collect, store, or transmit client tax return information.

Journey.tax processes data on your behalf as described in the Data Processing Addendum. The Service provides features intended to help you manage these obligations (e.g., consent capture and audit trails), but using those features does not transfer the legal responsibility for compliance to us — your firm remains the responsible party as the tax return preparer.

Text messaging (SMS). If you enable SMS notifications, you are responsible for obtaining and maintaining each client's consent to receive text messages and for your compliance with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and carrier requirements. Secord Fintech Inc. operates the messaging platform and registers the sending number; messages are sent on your behalf under the SMS / Text Messaging Terms at journey.tax/legal/sms.

7. AI and Document Processing

The Service uses automated processing, including third-party AI services, to read and extract data from documents you upload (e.g., OCR of tax forms). How that processing works, who the subprocessors are, and the commitments we make about it (including that your data is not used to train third-party AI models) are described in the Data Processing Addendum.

8. Privacy

Your use of the Service is also governed by our Privacy Policy.

9. Acceptable Use

You agree not to violate any law or regulation, upload harmful or malicious content, attempt unauthorized access to the system, or interfere with the Service or its security.

10. Service Availability

We use commercially reasonable efforts to keep the Service available but do not guarantee uninterrupted or error-free operation unless a separate written Service Level Agreement is signed. Planned maintenance and events outside our reasonable control may affect availability.

11. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, for security reasons, or as required by law. You may cancel as described in Section 4. On termination, you may export your firm's data for 30 days, after which it is handled as described in the Data Processing Addendum.

12. Disclaimer of Warranties

Except as expressly stated or required by law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data; and (b) our total liability arising out of or relating to the Service will not exceed the total fees you paid in the 12 months before the claim. 14. Indemnification

You agree to indemnify and hold harmless Journey.tax from claims arising out of your use of the Service, your clients or third parties, or your violation of these Terms or applicable law. 15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Manatee County, Florida, on an individual basis. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

16. Modifications

We may update these Terms. We will post the updated version with a new effective date and, where required, notify you. Continued use after an update constitutes acceptance.

17. Acceptance

Account creation and use of this site implying consent of the above mentioned items.
