Terms of Service

Effective Date: June 1, 2026

These Terms of Service (the "Terms") govern your firm's access to and use of the Journey.tax platform (the "Service"), operated by Secord Fintech Inc. ("Journey.tax", "we", "us"). By accessing or using the Service you agree to these Terms.

1. Eligibility and accounts

The Service is intended for use by accounting, tax, and advisory firms and their authorized personnel. You represent that you are authorized to bind your firm to these Terms.

2. Subscriptions and billing

Access to the Service is provided on a subscription basis. Fees, billing cycles, and included usage are described in your order or in the Service. Fees are non-refundable except where expressly stated.

3. License

Subject to these Terms and the Software License Terms, Journey.tax grants you a limited, non-exclusive, non-transferable, revocable, subscription-based license to access and use the Service for your internal business purposes only.

4. Data ownership

As between the parties, your firm owns all data submitted to the Service by your firm or its clients ("Firm Data"). Journey.tax acts as processor and service provider for Firm Data as described in the Data Processing Addendum.

5. Acceptable use

You will not (a) reverse engineer, decompile, or attempt to access source code; (b) circumvent access controls; (c) use the Service to build a competing product; or (d) use the Service in violation of law or third-party rights.

6. Client consents and § 7216

Your firm is solely responsible for obtaining all client consents and authorizations required by law, including under IRC § 7216 and Treasury Regulation § 301.7216, before submitting client data to the Service or using Service features that disclose or use tax return information.

7. Service availability

Journey.tax will use commercially reasonable efforts to make the Service available, subject to scheduled maintenance, emergency maintenance, and circumstances beyond our reasonable control.

8. Suspension and termination

We may suspend or terminate access for material breach, non-payment, or to protect the Service or its users. You may terminate at the end of your then-current subscription term in accordance with your order.

9. Confidentiality

Each party will protect the other's confidential information using at least the same degree of care it uses for its own confidential information, and in no event less than a reasonable degree of care.

10. Third-party services

The Service may interoperate with third-party services. Your use of third-party services is governed by their terms; Journey.tax is not responsible for third-party services.

11. Warranties and disclaimers

Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue, arising out of or relating to these Terms. Each party's aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable by you for the Service in the twelve months preceding the event giving rise to the claim.

13. No professional advice

Journey.tax is a software platform and does not provide tax, legal, accounting, or financial advisory services. Your firm is solely responsible for the professional services it provides to its clients.

14. Indemnification

You agree to indemnify, defend, and hold harmless Journey.tax, Secord Fintech Inc., and their officers, directors, employees, and affiliates from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your data or client data submitted through the Service; (c) your violation of these Terms or applicable law; or (d) your failure to obtain required client consents or authorizations, including those required under IRC § 7216.

Journey.tax will defend you against any third-party claim that the Service, as provided by Journey.tax and used in accordance with these Terms, infringes that third party's United States intellectual-property rights, and Journey.tax will indemnify you against any finally awarded damages or settlement amounts approved by Journey.tax in writing. Journey.tax will have no obligation under this section to the extent a claim arises from: (i) modifications not made by Journey.tax; (ii) combination of the Service with products, services, or data not provided by Journey.tax; (iii) use of the Service in violation of these Terms; or (iv) content, materials, or instructions provided by you or your users.

If the Service becomes, or in Journey.tax's opinion is likely to become, the subject of an infringement claim, Journey.tax may, at its option: (1) procure for you the right to continue using the Service; (2) modify or replace the affected portion of the Service so that it becomes non-infringing; or (3) terminate the affected Service and provide a prorated refund of prepaid fees for the terminated portion of the then-current subscription term.

15. Dispute resolution and governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Manatee County, Florida, on an individual basis. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date of changes constitutes acceptance.
